User-Generated Content (UGC) Terms and Conditions
Thank you for sharing your content in the form of video clips and photos (hereafter the “Content”) with Ninja Tune (“Label”) for possible use in a music video. By submitting your Content, you agree to the following terms and conditions:
- Grant of Rights: You grant Label a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, distribute, and display your Content in any and all media for the purpose of creating and promoting a music video.
- Content Ownership: You represent and warrant that you own all rights to the Content or have obtained all necessary permissions from any individuals featured or creators involved in the Content. You retain ownership of the Content, but grant Label the rights specified above.
- Use of Likeness: You consent to the use of your name, image, likeness, and any other identifiable characteristics associated with the Content for promotional purposes related to the music video.
- No Obligation: Submitting Content does not guarantee its use in any music video. Label reserves the right to select and edit Content at its sole discretion.
- Indemnification: You agree to indemnify and hold Label harmless from any claims, damages, liabilities, and expenses (including attorneys’ fees) arising out of or related to the use of the Content as permitted herein.
- Withdrawal of Consent: You may withdraw your consent for the use of your Content by notifying Label in writing at any time prior to the release of any video using the content. However, withdrawal of consent will not affect any prior use of the Content by Label.
- Miscellaneous: These terms shall be governed by and construed in accordance with the laws of England. Any dispute arising under these terms shall be subject to the exclusive jurisdiction of the courts located in England.
By submitting your Content, you acknowledge that you have read, understood, and agree to be bound by these terms and conditions.
